Why Businesses Need MSME Lawyers in Gurugram for Commercial Disputes

Business disputes are typically not initiated from Court. They may begin with maybe 1 unpaid invoice. An overdue Purchase Order. Supply of goods which were disputed. Or even customers who simply run away after the work is done.

If any small/micro business in Gurugram has 1 payment delayed then they loose the salary of their workers. Payments towards their vendors. GST payments. Working capital to accept more orders.etc

This small business dispute can escalate to a major recovery/contract dispute.

This is where you require MSME Lawyers in Gurugram.

There may be times where your business has suffered from a non-payment and you want to take action against the defaulter under MSMEDA 2006 or you want to initiate help for contract recovery. Arbitration. Commercial Disputes

These are some of the services we provide as MSME Lawyers at BK Singh Advocate.

We will analyse your documents first and then suggest you the best course of action.

Why this is important?

Every micro/small business will not be eligible to file a commercial dispute under MSMEDA. There are many factors involved in this. Right from your registration to goods supplied and the relief you desire.

Maybe your company supplied a machine and they never paid you. Maybe your company did consulting work for them and they claim you did poor work. Or maybe you have a contract dispute with them with some arbitration clause.

All of the above situations fall under commercial disputes. But each situation will require a different set of actions.

A lot of these clients come to us when its too late. Missing emails. Friends who worked on your deal no longer work at the company. No documentation that goods were delivered. Another company might have created docs to cover themselves.

With MSM Lawyers and BK Singh Advocate we can help you understand where you stand with your dispute and what you have to work with.

Why Do MSME Business Disputes Matter in Gurugram in 2026?

India has numerous corporations and business houses concentrated in the northern part of India. There are multiple layers to how Technology companies, manufacturers, logistics companies, consulting firms, vendors etc deal with each other.

Payment disputes happen and cause issues in the business.

Let’s say if a vendor has ₹10 Lakh or ₹20 Lakh pending from a client, he will have cash flow issues for few months. He has people to pay salaries to. Vendor payments. Statutory dues. If he gets a new order he will need funds for that as well since the previous payment is still pending.

Vendors/Little Guys start panicking and doing stupid things.

They start sending continuous WhatsApp messages to their clients without having any trail of conversation saved. Or they threaten legal action without even reading what their contract says. Some vendors even supply the goods and services despite having pending invoices to keep good terms.

Until and unless the client doesn’t start sending you Debit emails, denies the goods received or Supplying defective goods or terminates the agreement or raises question on Jurisdiction clause you shouldn’t lose your cool and should have a conversation with your client to resolve the issue.

But once they do any of the above. It’s time to look into the facts.

At Bk Singh and Associates we look into these facts to help clients get their payments.

As per Micro and Small Enterprise Facilitation council rules of State of Haryana there are certain provisions in case payments are delayed to you.

Quick Facts

  • MSMED ACT 2006 provides some relief to delayed payment if your business falls under MSME's and you are registered as such.
  • Buyer shall pay the price as may be determined under section 15 within the period agreed upon by the parties and if substantial, shall not exceed forty-five days from the date of acceptance of the goods or services supplied or deemed acceptance under section 15 thereof.
  • Provided that such period is specified in writing.
  • Delayed payment of money which comes under above statement they will liable to pay interest as provided under section 16.
  • Such money can be recovered along with interest provided under section 17.
  • Any dispute regarding such amount which arise can be referred to Micro and small enterprises facilitation council under section 18.
  • Such disputes can go under arbitration clause/recover money as per contract/commercial courts act 2015.
  • As mediation has to be done before instituting commercial suit as per section 12A of Commercial court act unless such suits are for immediate interim relief.
  • Well it totally depends on what you wanted to do with your deal and what paper work you have and what you've registered your business as.

What Is the Core Legal Issue in an MSME Business Dispute?

It could be regarding payments dues, agreements, products, services, delayed payment, breach, performance or tie ups or any legal right you are entitled to.

But my problem is I hear these are MSME disputes. What’s the difference?

If a supplier isn’t paying you on time, that is a Delayed payment issue under MSMED act. But you can have a contractual dispute with an MSME company as well. There can be Arbitration, Commercial suits, injunctions sued by an MSME too. Partnership disputes, Business fraud, Terminating contracts or even Defect in goods and Services.

You need to understand the difference between the two.

Just because you are an MSME or Udyam registered doesn’t mean you’ll be get into MSEFC proceedings for every dispute. Same if you are a buyer and buying from an MSME. If the seller is a micro or small unit you need to be careful about delayed payment laws too.

BK Singh Advocate will first understand all your legal rights when you hire us for MSME litigation and commercial disputes. We will go through the agreement between the parties.

Delayed Payment Issues

As an MSME owner one of the most common complaint I come across is regarding payment.

“Invoices were accepted by them, but when I asked to pay they’re giving excuses. Later they partially paid and not clearing the dues. After 2 months they raised a debit note. And when I started recovering the agreed amount they’re deducting some random amount and denying.”

Everyone has a different situation. But legally speaking your documents play a huge role.

Your invoices alone will not do the job. Any purchase orders, delivery notes, e-way bills, email confirmation, completion certificates and even gst invoices help build your case. If you had raised a mail for any objections against their invoice. Keep all those saved.

Contractual Disputes

Many times its not only about the payment you made or not.

Buyer can file a delayed delivery complaint. Supplier can always say that you changed the specifications midway. A services company can argue their work was accepted by the client. And your client can say there were pending items.

These disputes focus on what was actually agreed upon.

How to fight Business disputes involving MSMEs?

The business situation where your MSME is the plaintiff is one scenario.

If someone is asking you to pay. And you want to contest that. You can hire an advocate if you’ve been given a legal notice. From MSEFC or if there is an arbitration notice. Or if somebody has filed a commercial dispute and started recovering money from you.

You have to understand if you’ve done the work. As per the contract. Were there any objections? What was communicated. And do you actually owe them money or not.

What Laws Can Apply to MSME Business Cases in Gurugram?

Now question is which law will apply…It all depends upon the facts of the dispute. Many a times MSME disputes are governed by more than one laws.

Micro Small and Medium Enterprises Development Act 2006

Provided under MSMED Act Chapter V deals with delays in payments against MSME’s Micro and Small enterprises.

Payment by Buyer: As per section 15 of MSMED Act, if there is an agreement in writing with terms of payment then not more than 45 days shall be allowed from the date of acceptance or deemed acceptance of goods.

In case payment is not made then as per section 16 Interest will be applicable on the due amount at three times the rate of bank rate notified by Reserve Bank of India in respect of that loan for that time being published in the official Gazette in the applicable case. The formula provided for Interest calculation is very different from your normal interest clause that you find in most agreements, as this clause provides interest to be compounded on monthly rests.

Recovery of principal amount along with interest is allowed under section 17 of MSMED Act.

Section 18 talks about reference to MSEFC. Conciliation shall be performed followed by Arbitration if the dispute is not settled amicably in the concerned situation as provided under the Act.

Above points may help you value your dispute if its pertaining delay of payment.

MSME Lawyers in Gurugram must also understand these points and see if MSMED Act can be invoked to your benefit before looking at the dispute as a mere debt recovery matter.

Commercial Courts Act 2015

Dispute may also fall under Commercial Courts Act 2015.

Commercial Courts Act intend to cover wide variety of commercial disputes. Some examples include “transactions of merchants and traders”, sale/purchase of goods or services, Partnership, Distribution, Franchise, Joint Venture, Technology agreements and many more.

Value of such dispute shall not be less than Rs.3 Lacs as may be amended from time to time by the Act or Notification.

Depending on where your Cause of action arises, Or Jurisdiction you fall under, value of suit and many other things you would fall under a Commercial court.

Hence don’t go by the name “Commercial Dispute” and think that you’ll be litigating before a commercial court.

For businesses considering a formal recovery route, Commercial Dispute Lawyers can assess the dispute in the context of the applicable law.

Arbitration and Conciliation Act 1996

Most business contracts contain a clause of arbitration.

Arbitration clause can change the whole proceedings between two parties. Numerous questions are raised when arbitration is invoked. Questions like when to invoke arbitration, who can appoint arbitrator, Can we seek injunctions against arbitration?, Can the arbitration tribunal decide its own jurisdiction?, What are our claims? What are counter claims that can be made against us? etc.

Section 8 and 34 also of Arbitration Act will come into play if Arbitration is invoked under an agreement.

MSMED Act also allows for Conciliation and Arbitration through MSEFC. Hence a question that arises is what prevails? Arbitration clause in your agreement or your right under MSMED Act.

Something that you don’t want to take any step without consulting your MSME Arbitration Lawyer.

Indian Contract Act 1872

As mentioned above most disputes rise out of contract.

You may have queries about Offer and Acceptance, Specific performance of duties, Damages, indemnity, guarantee etc.

Contracts are the best tool which if drafted properly can let you know what the parties actually intended to do. A poorly drafted contract can do the complete opposite.

Businesses dealing with contractual issues can also review their position through MSME Contract Dispute Lawyers.

What Documents Matter in an MSME Business Case?

Maintaining good documentation is Essential if you wish to win any Commercial litigation/suit.

Even if the person trying to recover money from you is right, he can loose just because of improper documentation. Your buyer too can be right in defending himself but not maintaining any documentation of the issues faced by him at the time of receipt of goods/services can harm his cause.

Following are some documents which you must keep in your file:-

  • Udyam Registration certificate.
  • Records pertaining to your Enterprise.
  • Orders received i.e Purchase Orders/ Work Orders.
  • Master Agreement.
  • Supply Agreements.
  • Accepted Quotations by both parties.
  • Bills.
  • GST Invoices & taxation related documents.
  • E-way Bills.
  • Challans.
  • Acknowledgement of receiving goods supplied.
  • Completion certificates if any.
  • Inspection or quality report if any.
  • Statement of Account
  • Ledger/Application confirmation
  • Bank statement showing partial payment if made
  • Emails
  • Whats app conversations etc
  • Debit / Credit Notes raised
  • Any notices sent by you
  • Arbitration clause or any dispute resolution clause mentioned.
  • Any objections raised by your side on Supply/Performance.
  • Any settlement offered by you.

.

You may or may not require all of the above documents during any specific case.

But it is important that your paperwork clearly establishes that a transaction took place between you and the subject of dispute.

If BK Singh Advocate and MSME Lawyers reviews your documents, We can guide you whether the case is recoverable or you need to approach MSEFC/Litigation/ Arbitration/ Settlement ? or go on defending yourself.

When Should a Gurugram Business Consult an MSME Lawyer?

Lawyers are usually only engaged when months of polite reminders have fallen on deaf ears.

By this point matters can get sticky.

Legal advice should be taken when there is a substantial outstanding invoice subject to repeated promises to pay; when a buyer suddenly disputes invoices for goods agreed under a contract; if you are served with a statutory demand; if an MSEFC reference has been issued; if someone has threatened arbitration; if a contractual relationship deteriorates; or litigation is being threatened.

There are many other signs.

A customer may suddenly go silent but keep accepting goods. A purchaser may continually demand additional information that was not requested as part of the contract. You may receive a claim filled with excessive interest. Perhaps your business has experienced multiple invoices going past due on numerous transactions.

It's time to wake up and smell the coffee.

BK Singh Advocate can assess the value of the monies claimed, contract, correspondences and appropriate forum before things escalate any further.

Can an MSME Lawyer Help Before a Case Reaches Court?

Yes. Of course, that is not correct. Advice can be given prior to the issuing of a claim.

Getting somebody to review your position at an early stage can assist you in identifying whether the sum claimed is supported by the underlying documents, whether you have any valid contractual defences and what law would apply.

That may assist you in any commercial negotiations.

Also, a properly assessed claim will prevent the danger of making inconsistent claims. You cannot demand x amount in your emails, but then issue proceedings for a different amount. The same is true if a buyer changes their story as to why they have not paid.

Nothing undermines your position more than being inconsistent.

MSME Lawyers can review notices, settlement demands and dispute resolution clauses for you. You don't have to treat every dispute as something that has to result in a fully contested judgment.

Where a business dispute involves a formal notice or threatened recovery action, you can also review the MSME Legal Notice service for assistance with the legal position.

Frequently Asked Questions

1. Why should I hire MSME lawyers in Gurugram for my business payment dispute?

BK Singh & Associates can help you figure out if your matter is a straight forward contractual recovery matter or if special MSMED Act protections apply. There are many factors to consider like enterprise status, transaction documents, payment terms and conditions, contractual objections if any, jurisdiction etc.

BK Singh Advocate can be hired if your unpaid invoices or commercial claims are being disputed and you wish to get a legal opinion.

2. Can every MSME file a delayed-payment claim before MSEFC?

MSME status/classification becomes relevant because you have access to the statutory delayed- payment mechanism established under the MSMED Act for micro and small businesses. This is subject to the provisions under the MSMED Act and the facts surrounding the alleged transaction.

Assuming all are genuinely MSMEs, don’t expect every business to be eligible for the same remedies. Check their registration details as applicable.

3. What is the maximum period for payment under MSMED Act section 15?

Section 15 states that the period of payment, if agreed upon in writing, shall not exceed forty-five (45) days from the date of acceptance of goods or deemed acceptance under sub-section (2) in a transaction to which this sub-section applies.

You would still need to determine if Section 15 applies based on the facts.

4. Can I charge interest on delayed MSME payments?

Yes. Section 16 of the MSMED Act allows for interest of three (3) times the rate of interest notified by RBI for banks. Interest is compounded at monthly rests on late payments.

If the buyer defaults under Section 15, then you may charge interest. Interest could add up quickly. Buyers and suppliers should evaluate such claims carefully.

5. Will MSME Samadhaan decide our case like a Court?

No. MSME Samadhaan is essentially a portal to file delayed-payment applications online. Further, from MSME India , it looks like the application would be forwarded to the respective MSEFC.

Although claims are sent to respective panels, the Council adjudicates and does not make any comment on disputes. So technically the Ministry doesn’t decide your dispute.

6. Can I file MSME related disputes in Commercial Court?

Yes. If your business dispute fulfills the criteria under the Commercial Courts Act, then you can file a suit under that law. This includes various laws such as the Sale of Goods Act, Arbitration Act and more.

Essentially, if your claim meets the threshold value and satisfies other conditions under the Commercial Courts Act, then you can consider a filing under that Act.

As mentioned above, contracts for sale of goods and agreements for supply of services are two of the primary categories of transactions which are considered “commercial disputes” under the Act.

7. The buyer accepted goods but now refuses to pay the full amount. What should I do?

It depends on your contract and the facts. Stop looking at just one document or email.

Was the acceptance noted? Were there any exceptions noted at delivery? Are there written objections from the buyer, quality documents, email conversations around the time of delivery etc? Was the complaint timely? Essentially, only once we look at all the information can MSME Lawyers determine if the buyer is stopped from making a later objection.

8. Can the buyer dispute my MSME payment claim?

Yes. Just because you run an MSME that does not give you the right to make any claim and get paid.

The buyer may have genuine grievances about the supply, their performance under the contract, how the amount was calculated or any other matter related to compliance with the contract. That said, they will have to prove their case.

If the buyer wants to defend a payment claim by your business, they can consult BK Singh Advocate to explore their options.

9. What if we have an arbitration clause? Will that impact my MSME business dispute?

Yes, maybe. First you need to read the clause and figure out if arbitration is mandatory and how any arbitration would proceed.

The arbitration clause you signed with the buyer will have certain conditions if you want to trigger arbitration. This clause interacts with your rights under the MSMED Act if you wish to invoke your statutory rights. There are certain legal issues which come into play when analyzing contractual arbitration clauses and statutory rights under the MSMED Act. A lawyer would help you figure out these issues based on your specific facts.

10. When should I contact MSME Lawyers about my business dispute in Gurugram?

If you have an unpaid invoice which is significant to you, if you’ve received a legal notice, if you think you may be sued in the MSEFC, if a buyer is threatening arbitration, or if you received a formal demand to “clarify” non-performance; now is a good time to speak to MSME Lawyers.

Contact BK Singh Advocate & MSME Lawyers early to understand your rights, potential liabilities, and where you need to file a claim or a defense before wasting more time and losing sleep.
